Terms of Service

The terms and conditions governing your use of estidami and the Services.

By accessing or using the estidami platform and Services, you agree to be bound by these Terms and are responsible for ensuring your use is lawful. The Services and any outputs provided are intended to support analysis and decision-making at a preliminary level. They do not replace professional judgment or constitute engineering, financial, legal, or regulatory advice. Users remain responsible for validating results and decisions through qualified professionals where appropriate. To the maximum extent permitted by applicable law, estidami limits its liability as set out in these Terms.

Introduction

These Terms of Service ("Terms") govern your access to and use of the estidami platform, websites, applications, tools, and related services ("Services").

By using our Services, you agree to comply with and be legally bound by these Terms. If you do not agree, please do not use our Services.

1. Use of Services

You may use our Services only in accordance with these Terms and all applicable laws. You are responsible for ensuring that your use does not violate any laws or regulations in your jurisdiction.

a. Acceptable Use

You agree not to misuse the Services or help anyone else do so. Specifically, you shall not:

- Access, interfere with, or disrupt systems or networks used to provide the Services
- Reverse engineer, decompile, or attempt to extract the source code of any software
- Use the Services to transmit malware, spam, or other harmful or unlawful content
- Use the Services for fraudulent, deceptive, or misleading purposes
- Circumvent security controls, authentication mechanisms, or API limits

We reserve the right to investigate and take appropriate action, including suspension or termination of access, for any misuse or violation of these Terms.

2. User-Submitted Content

By submitting data, including but not limited to energy usage, system specifications, and project details, you represent that you have the right to share such information and grant us the right to use it in accordance with our Privacy Policy.

You retain ownership of your data. We may use anonymized and aggregated information to improve the performance, accuracy, and quality of our Services.

a. Data Retention & Access Controls

Your data is hosted on Google Cloud (Firebase) infrastructure. All data is encrypted in transit (via HTTPS/TLS) and at rest using industry-standard encryption protocols.

Access to your data is strictly limited to assigned analysts and authorized personnel who require access to deliver the Services. We maintain role-based access controls to ensure data confidentiality.

We retain your data for as long as your account is active (or as needed to provide the Services you request). After account closure or service termination, data is retained for 30 days, unless you request earlier deletion or a longer retention period is required by applicable law or your written agreement with us.

3. Account Registration

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that pose security or compliance risks.

4. Billing, Taxes, Refunds & Subscription Terms

You agree to pay all fees associated with your use of the Services, as displayed at checkout, on an order form, or on an invoice (as applicable). Fees are due in advance unless otherwise stated in writing.

a. One-Time Services / Deliverables

For one-time purchases or engagements, we may invoice you prior to commencing work and/or providing access to deliverables. Work may begin, and deliverables may be released, only after payment is confirmed, unless otherwise agreed in writing.

b. Subscriptions and Renewals

If you purchase a subscription, it will renew automatically at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the then-current billing period. Unless required by applicable mandatory law, subscription fees are non-refundable and we do not provide prorations for partial billing periods.

c. Taxes

Fees are exclusive of any applicable taxes, duties, or levies (including VAT/GST or similar), unless otherwise stated on your invoice or at checkout. You are responsible for paying applicable taxes, except where we are legally required to collect and remit them.

d. Payment Processing

Payments may be processed through third-party payment providers. By submitting payment information, you authorize us (and our payment providers) to charge the applicable fees, and you agree to the payment provider's terms and policies.

e. Refunds

Refunds are provided only as required by applicable mandatory law or as expressly stated in these Terms, at checkout, or in a written agreement. If we are unable to deliver a purchased one-time service or deliverable due to reasons outside your control (including capacity constraints), we may issue a refund for the affected portion of fees, at our discretion.

f. Non-Payment

If payment is overdue, we may suspend or restrict access to the Services until payment is received, in addition to any other rights or remedies we may have.

5. Intellectual Property

All content, branding, software, and design on this website or within our Services are the intellectual property of estidami or its licensors. You may not copy, modify, reproduce, or distribute any part of our Services without prior written consent. Use of our trademarks, logos, or brand elements without authorization is strictly prohibited.

a. Indemnification

You agree to indemnify, defend, and hold harmless estidami, its affiliates, officers, employees, and partners from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

- Your use of the Services
- Your violation of these Terms
- Your infringement of any intellectual property or other rights of any third party

6. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to the above, to the maximum extent permitted by law, estidami and its affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim under these Terms shall not exceed the total amount you paid (if any) for use of the Services during the twelve (12) months preceding the event giving rise to the claim.

7. Warranty Disclaimer

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the extent permitted by law.

8. Disclaimer

The tools, calculators, estimates, and results provided through the Services are for informational and preliminary planning purposes only. They do not constitute engineering, financial, legal, or regulatory advice. Actual outcomes may vary depending on external factors beyond our control.

Where we provide "verification" (for example, in energyScan), this refers to quality assurance and reasonableness checks based on documents and data you provide. Verification is not a guarantee of accuracy, not an on-site audit, and not a substitute for professional engineering or design services. Verification outcomes depend on the quality and completeness of the information provided and the assumptions used in analysis.

All forecasts, analytics, and recommendations are generated using available data and algorithms. estidami makes no guarantee of accuracy, completeness, or fitness for a particular purpose. You are solely responsible for validating results before making investment, operational, or compliance decisions.

9. Third-Party Services & Dependencies

The Services may integrate with or rely on third-party services and providers, including but not limited to payment processors, email delivery services, cloud hosting providers, analytics tools, and AI model providers used to generate certain outputs. Your use of such third-party services may be subject to their respective terms, policies, and privacy practices. We are not responsible for the availability, performance, or practices of third-party services.

Where we use third-party AI model providers, your inputs and related content may be processed by those providers solely to deliver the requested functionality, subject to their data-handling practices.

10. Service Availability & Maintenance

We strive to provide reliable access to the Services but do not guarantee uninterrupted availability or uptime. The Services may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control.

Beta Features: From time to time, we may offer features, tools, or functionality designated as beta, experimental, or preview. Such features are provided "as-is" without warranty, may change or be removed at any time without notice, and should not be relied upon for production or critical use cases.

11. Changes to Services

We reserve the right to modify, suspend, discontinue, or retire any part of the Services at any time, with or without notice. This includes adding, removing, or changing features, functionality, pricing, or access requirements. We are not liable for any modification, suspension, or discontinuation of the Services.

12. Feedback & Suggestions

If you provide feedback, suggestions, ideas, or other input regarding the Services ("Feedback"), you grant estidami a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation of compensation, attribution, or accounting to you.

13. Export Controls & Compliance

You agree to comply with all applicable export control laws, sanctions, and regulations, including those administered by the United States, the United Kingdom, the European Union, and other relevant jurisdictions. You represent that you are not located in, or a national of, any country subject to comprehensive sanctions, and that you are not on any government list of prohibited or restricted parties.

14. Consulting and Professional Services

Any consulting, advisory, or professional services offered by estidami may be governed by separate written agreements as applicable. In the absence of a written agreement, these Terms shall apply to the extent relevant and permissible. Nothing in the platform, verification, or automated outputs constitutes Advisory Services unless explicitly stated.

15. Modifications to Terms

We may update or modify these Terms from time to time. Updates will take effect when posted on this page, with the "Last updated" date revised accordingly. Continued use of the Services after changes constitutes your acceptance of the revised Terms.

16. Termination

We reserve the right to suspend or terminate access to the Services, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or compromised the integrity or security of the platform.

17. Governing Law; Mandatory Rights

These Terms are governed by the laws of England & Wales, without regard to conflict-of-law rules. If you reside in a jurisdiction that provides mandatory consumer or other legal rights that cannot be waived, nothing in these Terms limits those rights. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales, unless applicable mandatory law requires otherwise.

18. Miscellaneous

a. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and estidami regarding use of the Services and supersede all prior agreements and understandings.

b. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

c. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

d. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

e. Survival

Provisions that by their nature should survive termination (including limitations of liability, disclaimers, and indemnification) shall survive termination of these Terms.
